Welcome to Taskaroo. These Terms of Service ("Terms") are a binding legal agreement between you and Taskaroo, Inc., a Delaware corporation ("Taskaroo," "we," "our," or "us") regarding your use of the Taskaroo proprietary online platform for property services management, AI-powered service matching, and related services made available through our website at www.taskaroo.com and through our mobile applications (collectively, the "Platform" or "Service").

By accessing or using the Service, you accept these Terms and agree to use the Service in compliance with these Terms.

If you are registering for an account or using the Service on behalf of an entity, organization, property management company, or service business ("Organization"), you agree to these Terms on behalf of that Organization and you represent and warrant that you have the authority to bind that Organization to these Terms.


If you do not agree to these Terms, you must not access or use the Service.

1.1 Relationship to Other Agreements

If you use RooPay financial services:

- You must separately accept the RooPay Financial Services Agreement at taskaroo.com/roopay-terms

- RooPay services are governed by the RooPay Financial Services Agreement, not these Platform Terms

- Financial account terms, fees, and dispute resolution for RooPay are separate from Platform services

These Platform Terms govern:

- Platform access and account management

- Service matching and communication tools

- Non-financial features and services

- Platform fees and subscriptions (excluding RooPay financial services)


2. ACCOUNT REGISTRATION AND USERS

2.1 Account Types

The Service offers different account types:

a) Property Owner/Resident Accounts ("Consumer Accounts"): For individuals managing properties for personal, family, or household purposes who need services performed.

b) Service Provider Accounts ("Business Accounts"): For businesses and professionals offering property services (plumbers, HVAC technicians, electricians, contractors, etc.).

c) Property Manager Accounts ("Business Accounts"): For organizations managing multiple properties on behalf of owners.

2.2 Registration Requirements

When registering, you must:

- Be at least 18 years old

- Be a U.S. resident with a valid U.S. address

- Provide accurate, complete, and current information

- Maintain and promptly update your account information within 10 days of any changes

- Keep your login credentials secure and confidential

- Notify us immediately of any unauthorized use or security breach

You are responsible for all activities that occur through your account.

2.3 Multiple Users and Authorized Access

For Service Provider Accounts:

- You may authorize multiple employees or contractors ("Authorized Users") to access the Service

- Each Authorized User must have unique login credentials

- You are responsible for all Authorized User activities

- You must ensure Authorized Users comply with these Terms

- You must immediately revoke access for terminated Authorized Users

For Property Manager Accounts:

- You may manage multiple properties under a single account

- You must have proper written authorization to act on behalf of property owners

- You are responsible for maintaining accurate property information

- You must update property ownership information when properties change hands

2.4 Account Verification

We reserve the right to:

- Verify your identity and business information through third-party services

- Request additional documentation (licenses, insurance certificates, business formation documents, tax IDs)

- Suspend or terminate accounts with inaccurate, incomplete, or unverifiable information

- Limit access pending verification completion

- Conduct periodic re-verification of credentials

Failure to provide requested verification may result in account suspension or closure.

2.5 One Account Per Entity

- Individuals may have only one Consumer Account

- Businesses may have only one Service Provider Account per legal entity

- Creating duplicate accounts to circumvent fees, restrictions, or suspensions is prohibited

- We may consolidate or terminate duplicate accounts without notice


3. SERVICES PROVIDED

3.1 Core Platform Services

Taskaroo provides:

a) Service Matching: AI-powered matching between property service needs and qualified service providers based on:
- Service type and requirements

- Location and service areas

- Availability and capacity

- Ratings and performance history

- Network connections and recommendations

- Historical performance data

b) Communication Tools: In-platform messaging and notifications between matched parties

c) Service Management: Tools for requesting, quoting, scheduling, tracking, and managing services

d) Property Intelligence: Historical service records tied to properties for current and future owners, creating a comprehensive property service history

e) Payment Processing (Optional): Optional payment processing through RooPay financial services (subject to separate RooPay Financial Services Agreement)

f) Analytics and Reporting: Performance metrics, service history, and business intelligence tools

3.2 Platform Role and Limitations

CRITICAL UNDERSTANDING:

Taskaroo is a technology platform that facilitates connections between property owners and service providers. We are not:

- A service provider or contractor

- A general contractor or construction manager

- An employer or agent of service providers

- A party to service agreements between users

- Responsible for licensing, permitting, or code compliance

- A guarantor of work quality or completion

We do not:

- Guarantee service provider availability, response times, or work quality

- Warranty or guarantee any work performed by service providers

- Supervise, direct, or control service provider work methods

- Assume liability for service provider performance, conduct, or compliance

- Verify credentials beyond basic verification procedures

- Guarantee pricing, quotes, or estimates provided by service providers

All service agreements are directly between property owners and service providers.

3.3 Service Availability

- The Service is available throughout the United States

- Certain features may have geographic limitations

- Service provider availability varies by location

- We do not guarantee the Service will be uninterrupted, timely, secure, or error-free

- Scheduled and emergency maintenance may cause temporary unavailability

- We may discontinue features or the entire Service with reasonable notice


4. FEES AND PAYMENT

4.1 Platform Fee Structure

a) Free Tier Qualification:


Service Providers qualify for free platform access by:


Maintaining minimum monthly transaction volume through RooPay financial products

Current threshold: $5,000/month in RooPay processed transactions

Qualification assessed monthly based on previous month's activity

Thresholds subject to change with 30 days' notice


Property Owners/Residents qualify for free platform access by:


Using RooPay for payment processing on qualified transactions

Maintaining active account in good standing

Qualification criteria subject to change with 30 days' notice

4. FEES AND PAYMENT

4.1 Platform Fee Structure

a) Free Tier Qualification:

  • Using RooPay for payment processing on qualified transactions

  • Maintaining active account in good standing

  • Qualification criteria subject to change with 30 days' notice

b) Subscription Fees (When Free Tier Not Met):

  • Roopay Basic $149 per month

  • Billed monthly in advance

  • Current pricing available at taskaroo.com/pricing

  • All subscription fees are non-refundable except as required by law

  • Auto-renewal unless canceled before renewal date

4.2 Payment Terms

  • All fees in U.S. Dollars (USD)

  • Payment by ACH, credit card, debit card, RooPay, or other approved methods

  • Automatic recurring billing for subscriptions

  • Late payments subject to 1.5% monthly interest or maximum legal rate, whichever is lower

  • We may suspend access immediately for non-payment

  • Returned payment fee: $25

4.3 Fee Changes

  • We may change fees with 30 days' advance notice

  • Notice provided via:

    • Email to registered email address

    • In-app notification

    • Notice posted at taskaroo.com/pricing

  • Continued use after notice period constitutes acceptance

  • You may cancel your account before changes take effect without penalty

4.4 Taxes

You are responsible for:

  • All applicable sales, use, value-added, and other taxes (excluding taxes based on Taskaroo's net income)

  • Reporting and remitting taxes to appropriate authorities

  • Providing valid tax exemption certificates if claiming exemption

Service providers are solely responsible for:

  • Income taxes on service revenue

  • Self-employment taxes

  • Sales and use taxes on services provided

  • Business taxes and licenses

We may collect and remit sales tax where required by law.

4.5 Refunds

No refunds except:

  • Where required by applicable law

  • Platform unavailable for more than 72 consecutive hours (prorated credit)

  • Unauthorized charges (reported within 60 days)

  • At our sole discretion for exceptional circumstances


5. USER CONDUCT AND RESTRICTIONS

5.1 Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms and all applicable laws, regulations, and third-party rights.

5.2 Prohibited Conduct

You will NOT:

a) Legal and Compliance Violations:

  • Violate any applicable federal, state, or local laws, regulations, or third-party rights

  • Engage in fraudulent, deceptive, or misleading practices

  • Impersonate any person, entity, or falsely represent your affiliation

  • Use the Service for any illegal purpose or to solicit illegal acts

  • Violate intellectual property, privacy, or publicity rights

b) Platform Abuse:

  • Circumvent or manipulate our fee structure, qualification requirements, or matching algorithms

  • Create multiple accounts to abuse promotions, features, or avoid restrictions

  • Use automated systems, bots, scripts, or scrapers without express written permission

  • Attempt to reverse engineer, decompile, disassemble, or hack the Service

  • Interfere with, disrupt, or burden the Service, servers, networks, or other users' access

  • Access non-public areas of the Platform or probe for security vulnerabilities

  • Use the Platform to build competitive or similar services

c) Content Violations:

  • Upload malicious code, viruses, malware, or harmful content

  • Post inappropriate, offensive, harassing, threatening, or discriminatory content

  • Share others' personal information without express consent (doxxing)

  • Infringe intellectual property, trademark, patent, trade secret, or copyright

  • Post false, defamatory, or libelous content

  • Violate any person's right of publicity or privacy

d) Business Conduct - Service Providers:

  • Provide services outside your licensed, insured, or qualified areas

  • Engage in price fixing, manipulation, or collusion with other providers

  • Solicit platform users to transact outside the platform to avoid fees

  • Provide false or misleading quotes, credentials, qualifications, or availability

  • Accept jobs you cannot complete in a professional, timely manner

  • Subcontract work to unlicensed or uninsured parties without disclosure

  • Fail to maintain required licenses, permits, or insurance

  • Violate building codes, safety regulations, or industry standards

e) Service Requests - Property Owners:

  • Submit false, misleading, or fraudulent service requests

  • Use the Service to harass, spam, or abuse service providers

  • Request illegal services or work requiring permits you haven't obtained

  • Refuse to pay for properly completed work without legitimate, documented dispute

  • Make false or malicious complaints or reviews

  • Interfere with service provider business relationships

f) Payment and Financial Misconduct:

  • Use stolen, fraudulent, or unauthorized payment methods

  • Initiate chargebacks or payment disputes in bad faith

  • Evade or attempt to evade fees through fraudulent means

  • Engage in money laundering or other financial crimes

5.3 Enforcement and Consequences

Violations may result in:

  • Warning or written notice of violation

  • Restriction of specific features or functionality

  • Suspension of account (temporary or indefinite)

  • Termination of account and permanent ban

  • Forfeiture of subscription fees paid (no refund)

  • Withholding of payments due to you

  • Legal action including seeking injunctive relief and monetary damages

  • Reporting to law enforcement or regulatory authorities

We may take action immediately and without prior notice for serious violations.


6. CONTENT AND INTELLECTUAL PROPERTY

6.1 Your Content

a) Ownership: You retain ownership of content you upload ("User Content"), including:

  • Photos and videos of property issues or completed work

  • Service descriptions, requirements, and scope of work

  • Business information, credentials, and profile data

  • Communications, reviews, and ratings within the platform

  • Documentation and reports

b) License Grant to Taskaroo: By uploading User Content, you grant Taskaroo a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to:

  • Use, store, reproduce, modify, and display User Content to provide the Service

  • Create derivative works for platform improvement and feature development

  • Create anonymized, aggregated data for analytics, AI training, and service improvements

  • Share relevant content with matched parties for service delivery and dispute resolution

  • Use for marketing, promotional, and business development purposes (with your consent)

  • Distribute through current and future distribution channels

c) Property Documentation and Service History:

  • Important Feature: Photos/videos of property issues and service work may transfer with property ownership

  • Service history remains permanently associated with properties for future owners' benefit

  • Property intelligence enhances platform value and creates comprehensive property records

  • This data persistence continues even after your account termination

  • You consent to this data preservation model for property intelligence purposes


d) Representations and Warranties: You represent and warrant that:

  • You own or have all necessary rights, licenses, and permissions to upload User Content

  • Your User Content does not violate any third-party intellectual property, privacy, publicity, or other rights

  • Your User Content is accurate, current, and not misleading

  • Your User Content complies with all applicable laws and these Terms

  • You have obtained all necessary consents for any person depicted in photos/videos

e) User Content Monitoring:

  • We have no obligation to monitor User Content

  • We may (but are not required to) review, edit, or remove User Content at our sole discretion

  • We may remove User Content that violates these Terms or is otherwise objectionable

  • Removal of User Content does not imply liability or obligation to monitor other content

6.2 Taskaroo Intellectual Property

The Service and all content, features, functionality, software, designs, text, graphics, logos, button icons, images, audio clips, video clips, data compilations, algorithms, source code, and trademarks are owned by Taskaroo or our licensors and are protected by:

  • United States and international copyright laws

  • Trademark laws

  • Patent laws

  • Trade secret laws

  • Other intellectual property rights and laws

"Taskaroo," "RooPay," the Taskaroo logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Taskaroo, Inc. or our affiliates or licensors.

You may not:

  • Copy, modify, distribute, sell, or lease any part of the Service

  • Reverse engineer, decompile, disassemble, or attempt to derive source code

  • Create derivative works based on the Service

  • Remove, alter, or obscure any copyright, trademark, or proprietary notices

  • Use our trademarks, logos, or brand elements without prior written permission

  • Frame, mirror, or otherwise incorporate any part of the Platform into another website or service

  • Use our intellectual property to create competing or confusingly similar services

  • Scrape, data mine, or systematically collect data from the Service

Limited License: We grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for your personal or internal business use in compliance with these Terms. All rights not expressly granted are reserved by Taskaroo.

6.3 Feedback and Suggestions

Any feedback, suggestions, ideas, or other information you provide about the Service ("Feedback") becomes Taskaroo's exclusive property without compensation, attribution, or obligation to you. We may use Feedback for any purpose without restriction, including:

  • Developing new features or services

  • Improving existing features

  • Marketing and promotional purposes

  • Creating derivative works

You hereby assign all rights, title, and interest in Feedback to Taskaroo and waive any moral rights.

6.4 Copyright Infringement Claims (DMCA)

If you believe content on the Platform infringes your copyright, send a DMCA notice to:

Repeat Infringer Policy: We will terminate accounts of users who are repeat infringers.


7. PRIVACY AND DATA

7.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy available at taskaroo.com/privacy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection, use, and sharing of your information as described in the Privacy Policy.

7.2 Property Service History - Key Platform Feature

Critical Understanding:

Property service history is permanently tied to physical properties, not individual user accounts. This is a fundamental feature of the Taskaroo platform that provides value to current and future property stakeholders.

What this means:

  • Service records, work history, and property maintenance data remain associated with the property address

  • Historical data benefits current owners, future owners, buyers, and property managers

  • Property service records persist beyond individual account termination

  • Property intelligence data is not deleted when you close your account

  • This feature enhances property transparency, value, and long-term maintenance planning

What persists:

  • Service types and dates performed

  • Service provider information (business name, not personal details)

  • Work descriptions and scope

  • Property-related photos (issue documentation, completed work)

  • Service costs and payment history

What does NOT persist:

  • Your personal contact information

  • Private messages or communications

  • Payment methods

  • Personal account preferences

You expressly consent to this data preservation model as a condition of using the Service.

7.3 Data Processing and Storage

  • We process data using Supabase, AWS, Google Cloud, and other third-party service providers

  • Data is stored in secure, encrypted databases in the United States

  • AI models and machine learning algorithms may be trained on anonymized, aggregated data to improve:

    • Service matching accuracy

    • Pricing recommendations

    • Service quality predictions

    • Platform functionality

  • We implement industry-standard security measures including encryption in transit and at rest

  • You are responsible for the accuracy, completeness, and legality of data you provide

7.4 Data Security

While we implement commercially reasonable security measures to protect your data, no system is completely secure. You acknowledge and agree that:

  • You use the Service at your own risk regarding data security

  • We cannot guarantee absolute security of transmitted or stored data

  • Unauthorized access, hardware/software failure, and other factors may compromise data security

  • We are not liable for unauthorized access, use, or disclosure beyond our reasonable control

  • You should maintain backup copies of important data and information

  • You are responsible for maintaining the confidentiality of your login credentials

7.5 Data Rights

You have the right to:

  • You are solely responsible for all communications sent through your account

  • We may retain communications for legal compliance, dispute resolution, and platform improvement

  • No guarantee of message delivery, read receipts, response times, or availability

  • Users must comply with anti-spam laws and professional communication standards

  • Harassing, abusive, or inappropriate communications may result in account termination

8.2 Automated Notifications

The platform may send automated notifications including:

  • Service request alerts

  • Matching notifications

  • Schedule reminders

  • Message notifications

  • Payment confirmations

  • Status updates

You can manage some notification preferences in Account Settings.

8.3 Service Communications from Taskaroo

You consent to receive communications from Taskaroo including:

a) Transactional Communications (Cannot Opt Out):

  • Account notifications and security alerts

  • Service updates and status changes

  • Billing statements and payment confirmations

  • Legal notices and policy changes

  • Terms of Service updates

  • Security breach notifications

  • Fraud alerts

b) Operational Communications:

  • Platform updates and new features

  • Service announcements and scheduled maintenance

  • Performance metrics and reports

  • Platform tips and best practices

  • Feature tutorials and guides

c) Marketing Communications (Can Opt Out):

  • Promotional offers and discounts

  • Product recommendations

  • Newsletters and platform news

  • Referral programs and incentives

  • Event invitations

  • Customer surveys

How to manage communications:

9. THIRD-PARTY SERVICES AND RELATIONSHIPS

9.1 Independent Contractor Relationship

CRITICAL LEGAL DISTINCTION:

Service providers are independent contractors, NOT Taskaroo employees, agents, partners, or joint venturers.

This means:

  • We do not control service provider work methods, schedules, pricing, or business decisions

  • Service providers are not authorized to bind Taskaroo to any agreement or obligation

  • Service providers set their own hours, pricing, service areas, and business terms

  • We do not provide workers' compensation, unemployment insurance, or employment benefits to service providers

  • Service providers are responsible for their own taxes, licenses, insurance, and regulatory compliance

  • Service providers may work for multiple platforms or clients simultaneously

Service agreements are directly between property owners and service providers:

  • Taskaroo is not a party to these service agreements

  • We do not warranty or guarantee service provider work

  • We are not liable for service provider acts, omissions, negligence, or willful misconduct

  • We are not responsible for service provider scheduling, pricing, or completion

  • Property owners and service providers must resolve disputes directly

No employment or agency relationship exists between:

  • Taskaroo and service providers

  • Taskaroo and property owners

  • Service providers and property owners (except as they separately agree)

9.2 Payment Processing - RooPay

Payment processing services provided by RooPay (a Taskaroo financial services brand):

  • RooPay is powered by Stripe Payments Company with funds held at Celtic Bank and Fifth Third Bank, N.A.

  • Use of RooPay requires separate acceptance of RooPay Financial Services Agreement

  • RooPay services are governed by the RooPay Financial Services Agreement, NOT these Platform Terms

  • We do not store credit card information directly (handled by Stripe's PCI-compliant systems)

  • Payment disputes, fraud, and financial account issues are subject to RooPay terms and Regulation E (for consumers)

If you choose not to use RooPay:

  • You may use alternative payment methods outside the platform

  • Platform transaction fees may apply (see Section 4.1)

  • You lose free tier benefits that require RooPay usage

  • Payment disputes are between you and the other party (Taskaroo is not involved)

9.3 Third-Party Integrations and Services

The Service may integrate with or link to third-party services including:

Calendar applications (Google Calendar, Outlook, Apple Calendar)

  • Mapping and GPS services (Google Maps, Apple Maps)

  • Communication platforms (SMS, email providers)

  • Cloud storage services

  • Social media platforms

  • Review and rating sites

  • Business verification services

  • Background check providers

Important disclaimers:

  • Third-party services have their own terms of service and privacy policies

  • We are not responsible for third-party service functionality, availability, content, or security

  • We do not endorse or guarantee third-party services

  • Integrations may be modified, limited, or discontinued without notice

  • We are not liable for data shared with third-party services

  • Your use of third-party services is at your own risk

Data sharing with third parties:

  • May be necessary for integration functionality

  • Subject to our Privacy Policy and third-party privacy policies

  • May include personal information, transaction data, or usage information

  • You consent to necessary data sharing by using integrated features

9.4 Links to Third-Party Websites

The Service may contain links to third-party websites for convenience or information. We do not:

  • Control or endorse linked websites

  • Assume responsibility for linked content, products, or services

  • Warrant the accuracy or reliability of linked information

  • Have any liability for your use of linked websites

You access linked websites at your own risk and subject to their terms and policies.


10. DISCLAIMERS AND LIMITATIONS OF LIABILITY

10.1 Service "As Is" Disclaimer

THE SERVICE IS PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKAROO DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

a) Express Warranties:

  • No warranty that the Service will meet your requirements or expectations

  • No warranty of uninterrupted, timely, secure, or error-free operation

  • No warranty regarding results, accuracy, or reliability of the Service

b) Implied Warranties:

  • No implied warranty of merchantability

  • No implied warranty of fitness for a particular purpose

  • No implied warranty of title or non-infringement

  • No implied warranty arising from course of dealing or usage of trade

10.2 Specific Service Disclaimers

WE SPECIFICALLY DISCLAIM ANY LIABILITY OR WARRANTY FOR:

a) Service Provider Performance:

  • Quality, safety, timeliness, or professionalism of services performed

  • Service provider credentials, licenses, insurance, or qualifications

  • Accuracy of service quotes, estimates, pricing, or completion timeframes

  • Service provider compliance with laws, codes, regulations, or industry standards

  • Background, criminal history, or past performance of service providers

  • Property damage or personal injury resulting from service provider actions or omissions

b) Platform Functionality:

  • Service availability, system uptime, or downtime duration

  • Accuracy of matching algorithms or AI recommendations

  • Data loss, corruption, or security breaches beyond our reasonable control

  • Third-party service or integration availability or functionality

  • Bug-free or error-free operation

c) User Interactions:

  • Disputes between users (property owners and service providers)

  • Fraud, misrepresentation, or deception by users

  • Payment disputes or non-payment issues between users

  • User-generated content accuracy, legality, or appropriateness

d) Property Service History:

  • Completeness or accuracy of historical service records

  • Availability of service history for all properties

  • Service history data from prior to platform creation

10.3 No Professional Advice

The Service does not provide and should not be construed as providing:

  • Legal advice or legal counsel

  • Tax advice or tax preparation services

  • Insurance advice or risk assessment

  • Engineering or architectural services

  • Construction management or general contracting services

  • Professional consulting in any licensed field

  • Code compliance verification or permitting services

For professional advice, consult licensed professionals in the relevant field.

10.4 Limitation of Liability - Maximum Caps

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TASKAROO'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE, WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, SHALL NOT EXCEED THE GREATER OF:

(A) THE TOTAL AMOUNT OF FEES PAID BY YOU TO TASKAROO IN THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR

(B) ONE HUNDRED DOLLARS ($100.00)

10.5 Exclusion of Consequential Damages

IN NO EVENT SHALL TASKAROO, ITS OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, OR SUPPLIERS BE LIABLE FOR:

a) Indirect or Consequential Damages:

  • Indirect, incidental, special, consequential, or punitive damages

  • Loss of profits, revenue, data, use, goodwill, or other intangible losses

  • Business interruption or lost business opportunities

  • Reputational harm or damage to reputation

  • Cost of substitute goods or services

  • Cost of procurement of substitute services

b) Specific Excluded Damages:

  • Property damage caused by service providers (unless Taskaroo's gross negligence directly caused it)

  • Personal injury or death caused by service providers

  • Damages from data breaches, hacking, or unauthorized access (beyond our reasonable control)

  • Damages from user disputes or fraudulent users

  • Damages from service provider fraud, negligence, or criminal acts

  • Damages from third-party service failures

  • Lost opportunities or failed transactions

THESE LIMITATIONS APPLY EVEN IF:

  • Taskaroo has been advised, knew, or should have known of the possibility of such damages

  • A remedy fails of its essential purpose

  • The damages were foreseeable or a natural result of the breach

10.6 State-Specific Limitations

Some states do not allow:

  • Exclusion or limitation of incidental or consequential damages

  • Limitation of implied warranties

  • Disclaimer of warranties for consumer transactions

In such states, the limitations in Sections 10.4 and 10.5 may not apply to you to the extent prohibited by state law. In such cases, Taskaroo's liability is limited to the maximum extent permitted by applicable state law.

New Jersey residents: Limitations of liability and warranty disclaimers may not apply to the extent they violate New Jersey law.

California residents: Limitations may be subject to California Civil Code Section 1542.

10.7 Basis of the Bargain

You acknowledge and agree that:

  • The disclaimers and limitations in this Section 10 are a fundamental part of the basis of the bargain between you and Taskaroo

  • The fee structure and pricing reflect these limitations of liability

  • Taskaroo would not provide the Service without these limitations

  • These limitations apply regardless of the form of action (contract, tort, negligence, strict liability, or otherwise)



11. INDEMNIFICATION

11.1 General Indemnification by All Users

You agree to defend, indemnify, and hold harmless Taskaroo, Inc., and its parent, subsidiaries, affiliates, officers, directors, employees, contractors, agents, partners, licensors, and suppliers (collectively, "Taskaroo Parties") from and against any and all claims, damages, obligations, losses, liabilities, costs, debts, and expenses (including but not limited to reasonable attorneys' fees and costs) arising from or related to:

a) Your Use of the Service:

  • Your access to or use of the Service

  • Your violation of these Terms

  • Your violation of any law, regulation, or third-party right

  • Your User Content or any content you post, upload, or transmit

b) Your Conduct:

  • Your negligence, gross negligence, or willful misconduct

  • Your fraudulent, deceptive, or misleading acts or omissions

  • Your failure to maintain accurate account information

  • Your unauthorized use of intellectual property

c) Disputes and Relationships:

  • Disputes between you and other users of the Service

  • Your relationships or interactions with other users

  • Any service agreements between you and other users

d) Data and Privacy:

  • Your violation of privacy rights or data protection laws

  • Your failure to obtain necessary consents or authorizations

  • Your collection, use, or disclosure of personal information

11.2 Additional Indemnification by Service Providers

If you are a Service Provider, you additionally agree to indemnify Taskaroo Parties for claims arising from or related to:

a) Service Performance:

  • All work performed, attempted, or failed to be performed by you or your employees, contractors, subcontractors, or agents

  • Quality of workmanship or materials

  • Warranty claims, defects, or rework

  • Service delays, cancellations, or no-shows

  • Incomplete or abandoned work

b) Professional Compliance:

  • Your failure to maintain required licenses, permits, certifications, or registrations

  • Your failure to obtain building permits or pass inspections

  • Your violation of building codes, safety regulations, or industry standards

  • Your failure to maintain adequate insurance coverage

  • Your use of unlicensed, uninsured, or unqualified subcontractors

c) Harm and Damages:

  • Property damage caused by you, your employees, contractors, or subcontractors

  • Personal injury, illness, or death caused by your services or conduct

  • Environmental damage or hazardous material violations

  • Theft, damage, or loss of property owner's property

  • Damage to neighboring properties

d) Employment and Labor:

  • Your employee or contractor actions or omissions

  • Your failure to comply with wage and hour laws

  • Your failure to provide workers' compensation insurance

  • Your misclassification of employees as independent contractors

  • Your violation of labor laws or workplace safety regulations

e) Business Practices:

  • Your misrepresentation of credentials, qualifications, or capabilities

  • Your false or misleading advertising or pricing

  • Your violation of consumer protection laws

  • Your breach of service agreements with property owners

  • Your circumvention of platform fees

11.3 Additional Indemnification by Property Owners/Managers

If you are a Property Owner or Property Manager, you additionally agree to indemnify Taskaroo Parties for claims arising from or related to:

a) Property Access and Conditions:

  • Property access issues, hazards, or unsafe conditions

  • Your failure to disclose known hazards or dangerous conditions

  • Your failure to secure necessary property owner approvals

  • Injury or harm to service providers on your property

  • Environmental hazards (asbestos, lead paint, mold, etc.) not disclosed

b) Authorization and Authority:

  • Your lack of authority to request services for the property

  • Your unauthorized use of payment methods

  • Your breach of property owner or tenant agreements

  • Your violation of HOA rules or condo association bylaws

c) Payment and Financial:

  • Your false or fraudulent chargebacks or payment disputes

  • Your refusal to pay for properly completed work

  • Your violation of payment agreements

11.4 Indemnification Process and Procedures

a) Notice: You must promptly notify Taskaroo in writing of any claim subject to indemnification, but failure to provide prompt notice does not relieve your indemnification obligations except to the extent Taskaroo is prejudiced by the delay.

b) Defense Control: Taskaroo may, at its option and sole discretion:

  • Assume exclusive defense and control of any claim subject to indemnification (at your expense)

  • Participate in the defense at its own expense

  • Require you to defend the claim at your expense with counsel reasonably acceptable to Taskaroo

c) Cooperation: You agree to:

  • Fully cooperate with Taskaroo's defense of any claim

  • Provide all information, documentation, and assistance reasonably requested

  • Make yourself and your employees available for depositions, testimony, and court appearances

  • Not make any admissions or settlements without Taskaroo's prior written consent

d) Settlement: You may not settle, compromise, or admit liability for any claim subject to indemnification without Taskaroo's prior written consent (not to be unreasonably withheld).

e) No Waiver: Taskaroo's failure to exercise its rights under this indemnification does not waive any rights or remedies.

11.5 Survival

Your indemnification obligations survive:

  • Termination of these Terms

  • Closure or deletion of your account

  • Any dispute resolution or arbitration

  • Any judgment, settlement, or award

  • For the full statute of limitations period



12. DISPUTE RESOLUTION

12.1 Informal Resolution Required First

Before filing any legal action, claim, or arbitration demand, you must first attempt to resolve the dispute informally.

Required steps:

  1. Send written notice to [email protected] with:

  • Your name and contact information

  • Your account email address

  • Detailed description of the dispute

  • Specific relief or resolution you seek

  • Supporting documentation

  1. Negotiate in good faith for 60 days from the date we receive your notice

  1. Document your attempts to resolve the dispute

This informal resolution requirement is a condition precedent to arbitration or litigation. Failure to complete this process may result in dismissal of your claim.

Benefits of informal resolution:

  • Faster resolution than formal proceedings

  • Lower costs for both parties

  • Flexible solutions not available in arbitration or court

  • Preserves business relationships

  • Opportunity for creative problem-solving

12.2 Binding Arbitration Agreement

YOU AND TASKAROO AGREE THAT ALL DISPUTES, CLAIMS, OR CONTROVERSIES ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL BE RESOLVED THROUGH BINDING, INDIVIDUAL ARBITRATION RATHER THAN IN COURT, EXCEPT FOR:

a) Exceptions to Arbitration:

  • Small claims court actions within jurisdictional limits (currently $10,000 in most states)

  • Actions seeking injunctive or equitable relief for intellectual property infringement, misappropriation of trade secrets, or unauthorized access to the Service

  • Claims that cannot be arbitrated under applicable law

  • Consumer users who properly opt out (see Section 12.3)

b) Scope of Arbitration: This arbitration agreement applies to all claims whether based on contract, tort, statute, fraud, misrepresentation, or any other legal theory, including but not limited to:

  • Claims arising from your use of the Service

  • Claims related to privacy, data, or communications

  • Claims regarding fees, billing, or payments

  • Claims related to account suspension or termination

  • Claims arising from service provider performance or disputes

  • Claims related to these Terms or their interpretation

  • Claims that arose before these Terms or any prior agreement

12.3 Consumer Opt-Out Right (30 Days)

CONSUMER USERS (PROPERTY OWNERS/RESIDENTS USING THE SERVICE FOR PERSONAL, FAMILY, OR HOUSEHOLD PURPOSES) MAY OPT OUT OF THIS ARBITRATION AGREEMENT WITHIN 30 DAYS OF ACCOUNT CREATION.

To opt out, you must:

  1. Send written notice within 30 days of creating your account

  2. Email to: [email protected] with subject line "Arbitration Opt-Out"

  3. Or mail to: Taskaroo, Inc., ATTN: Arbitration Opt-Out, 1008 N Florida Ave, Tampa, FL 33602

Your opt-out notice must include:

  • Your full legal name

  • Account email address

  • Account phone number

  • Mailing address

  • Clear statement: "I opt out of the arbitration agreement"

  • Your signature (for mailed notices) or electronic confirmation

Effect of opt-out:

  • You can sue Taskaroo in court instead of arbitrating

  • Taskaroo can also sue you in court

  • All other Terms still apply, including class action waiver

  • Opt-out is permanent and cannot be revoked

  • This opt-out right is ONLY available to consumer users, NOT business users

BUSINESS USERS (SERVICE PROVIDERS AND PROPERTY MANAGERS) CANNOT OPT OUT OF ARBITRATION.

12.4 Arbitration Rules and Procedures

a) Arbitration Administrator:

  • American Arbitration Association (AAA)

  • Rules: AAA Consumer Arbitration Rules (for consumer disputes) or AAA Commercial Arbitration Rules (for business disputes)

b) Starting Arbitration:

  1. Complete the informal resolution process (Section 12.1)

  2. File arbitration demand with AAA per their rules

  3. Serve copy of demand on Taskaroo at: [email protected]

  4. Pay required filing fees (see Section 12.5)

c) Arbitrator Selection:

  • One neutral arbitrator selected according to AAA rules

  • Parties may agree to use three arbitrators

  • Arbitrator must be:

    • Independent and impartial

    • Experienced in the subject matter

    • Licensed attorney or retired judge (preferred)

d) Arbitration Location:

  • Consumer disputes: Your county of residence, or by telephone/videoconference if you prefer

  • Business disputes: New Castle County, Delaware (Wilmington), or mutually agreed location

  • Remote proceedings: Available by agreement or at arbitrator's discretion

e) Hearing Format:

  • May be conducted in-person, by telephone, by videoconference, or based on written submissions

  • Arbitrator decides format based on case complexity and party preferences

  • Discovery is more limited than in court (as determined by arbitrator)

f) Arbitrator Authority:

  • Arbitrator decides all issues, including threshold questions of arbitrability

  • Arbitrator must follow these Terms and applicable law

  • Arbitrator may award any relief available in court (damages, injunctions, specific performance)

  • Arbitrator may NOT award relief to anyone other than the individual party seeking relief

  • Arbitrator may award attorneys' fees and costs only if authorized by law or these Terms

  • Arbitrator must provide reasoned written decision explaining the basis for the award

g) Judgment on Award:

  • Arbitrator's decision is final and binding on the parties

  • Award may be entered as judgment in any court of competent jurisdiction

  • Very limited grounds for appeal or judicial review under the Federal Arbitration Act

12.5 Arbitration Fees and Costs

a) Consumer Disputes:

  • Filing fees: If your filing fee would exceed small claims court filing fees in your jurisdiction, Taskaroo will pay the difference

  • Administrative fees: Taskaroo will pay all AAA administrative fees

  • Arbitrator fees: Taskaroo will pay all arbitrator compensation and expenses

  • Your maximum cost: Only what you would pay to file in small claims court

  • If you win: Taskaroo will reimburse your filing fees and pay your reasonable attorneys' fees if required by applicable law or awarded by the arbitrator

b) Business Disputes:

  • Fees split per AAA rules: Each party pays their share of AAA administrative fees and arbitrator compensation according to AAA Commercial Arbitration Rules

  • Your attorneys' fees: Each party bears their own attorneys' fees unless:

    • Applicable law requires fee-shifting, or

    • Arbitrator awards fees to the prevailing party

  • Cost deposit: Parties may be required to deposit estimated costs with AAA in advance

c) Fee Waivers:

  • If you cannot afford arbitration fees, you may apply to AAA for a fee waiver

  • Taskaroo may voluntarily pay or waive fees at its discretion

12.6 Class Action Waiver - Individual Claims Only

YOU AND TASKAROO AGREE THAT ALL DISPUTES MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, REPRESENTATIVE ACTION, OR CONSOLIDATED PROCEEDING.

This means:

  • No class arbitrations are permitted

  • No class actions are permitted (even if you opt out of arbitration)

  • No representative actions on behalf of others

  • No consolidation of multiple parties' claims

  • Each party may bring claims only in their individual capacity

The arbitrator may NOT:

  • Consolidate more than one party's claims

  • Preside over any form of class, collective, or representative proceeding

  • Award relief to any person or entity other than the individual party seeking relief

Severability of Class Action Waiver:

  • If this class action waiver is found to be unenforceable, void, or invalid, then the ENTIRE arbitration agreement in Section 12.2 is null and void

  • In that case only, disputes must be brought in court (not arbitration)

  • All other provisions of these Terms remain in full force and effect

  • The class action waiver may not be severed from the arbitration agreement

12.7 Disputes Between Users

Taskaroo is not obligated to mediate, arbitrate, or resolve disputes between users (property owners and service providers).

User disputes must be resolved directly between the parties:

  • We are not a party to service agreements between users

  • We do not arbitrate service quality disputes, payment disputes, or contract interpretation

  • We may provide transaction records, communications, and platform data to assist resolution

  • We may suspend or restrict accounts during active disputes to prevent further harm

We may take action regarding user disputes:

  • Suspend accounts of parties involved in disputes (at our discretion)

  • Terminate accounts for repeated disputes, unreasonable behavior, or Terms violations

  • Withhold payments pending dispute resolution

  • Provide user information to law enforcement or courts when required by law

  • Ban users who engage in fraud, abuse, or criminal conduct

Our involvement is limited to:

  • Platform functionality and access

  • Compliance with these Terms

  • Protection of the platform community

  • Legal compliance and response to legal process

12.8 Governing Law and Venue (If Arbitration Does Not Apply)

If for any reason a claim proceeds in court rather than arbitration:

a) Governing Law:

  • These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles

  • Federal Arbitration Act (FAA) governs interpretation and enforcement of the arbitration agreement

  • Federal law applies to federal claims (if any)

b) Exclusive Venue and Jurisdiction:

  • Exclusive jurisdiction in the state or federal courts located in New Castle County, Delaware (Wilmington)

  • You consent to personal jurisdiction in these courts

  • You waive any objections to venue, inconvenient forum, or lack of personal jurisdiction

c) Jury Trial Waiver:

  • YOU WAIVE YOUR RIGHT TO A JURY TRIAL for any claim that is not arbitrated

  • All court proceedings will be decided by a judge, not a jury

  • This waiver applies even if you opt out of arbitration (you still waive jury trial)

12.9 Time Limit for Claims - One Year Statute of Limitations

YOU MUST BRING ANY CLAIM AGAINST TASKAROO WITHIN ONE (1) YEAR FROM THE DATE THE CLAIM AROSE, OR THE CLAIM IS PERMANENTLY BARRED.

This means:

  • The one-year period starts when you knew or should have known about the facts giving rise to the claim

  • After one year, you lose the right to pursue the claim in any forum (arbitration or court)

  • This one-year limit applies even if a longer statute of limitations would otherwise apply under state or federal law

  • This limit is a condition of using the Service

Example: If you discover an overcharge on March 1, 2025, you must file a claim by February 28, 2026, or you permanently lose the right to pursue it.

12.10 Survival of Dispute Resolution Terms

This Section 12 (Dispute Resolution) survives:

  • Termination of these Terms

  • Closure or deletion of your account

  • End of your relationship with Taskaroo

  • Completion of all transactions

Any disputes arising during your use of the Service must still be resolved according to this Section 12, even if your account has been closed.


13. TERM AND TERMINATION

13.1 Term

These Terms are effective upon account creation (or your first use of the Service, whichever is earlier) and continue until terminated by either party as provided in this Section 13.

13.2 Termination by You

You may terminate your account at any time by:

a) Using the account closure feature:

  • Navigate to Account Settings → Close Account

  • Follow the prompts to confirm closure

  • Effective immediately upon confirmation

b) Contacting support:

  • Email: [email protected] with subject "Account Closure Request"

  • Phone: 1-813-776-4900

  • Mail: Taskaroo, Inc., 1008 N Florida Ave, Tampa, FL 33602

Effect of voluntary termination:

  • Access to the Service ceases immediately

  • No refund of subscription fees already paid (subscriptions are non-refundable)

  • Pending service requests may be completed, canceled, or transferred at our discretion

  • You remain liable for all outstanding obligations, fees, and payments due

  • Business accounts with annual subscriptions: 30 days' notice required to avoid auto-renewal

13.3 Termination by Taskaroo

a) Immediate Termination Without Notice:

We may suspend or terminate your account immediately without prior notice for:

Serious Violations:

  • Material breach of these Terms

  • Fraudulent, illegal, or harmful activity

  • Providing false information or impersonating others

  • Attempting to circumvent fees or abuse the platform

  • Using automated systems, bots, or scrapers without authorization

  • Hacking, reverse engineering, or attempting to compromise security

Financial Issues:

  • Non-payment of fees, charges, or amounts owed

  • Excessive chargebacks or payment disputes

  • Fraudulent payment methods

Platform Harm:

  • Risk to other users, Taskaroo, or the platform

  • Excessive complaints, negative ratings, or poor performance (service providers)

  • Harassment, abuse, or inappropriate conduct

  • Violation of laws or regulations

Other Grounds:

  • Court order or legal requirement

  • Account inactivity for more than 24 months

  • Duplicate accounts or Terms violations

  • Any conduct we deem harmful to the platform, community, or our business

b) Termination With Notice:

We may terminate your account with 30 days' advance notice for:

  • Discontinuation of the Service (in whole or in part)

  • Changes to our business model or service offerings

  • Your failure to meet qualification criteria for free tier

  • Any reason or no reason (at-will termination)

Notice provided via:

  • Email to registered email address

  • In-app notification

  • Postal mail (for material changes)

c) Suspension:

We may suspend (rather than terminate) your account for:

  • Pending investigation of Terms violations

  • Disputes between you and other users

  • Suspected but unconfirmed fraud or abuse

  • Pending verification of identity or credentials

  • Pending payment of outstanding fees

During suspension:

  • You cannot access the Service or your account

  • Your obligations under these Terms continue

  • We may still process pending transactions

  • Suspension may be lifted upon resolution of the issue

13.4 Effect of Termination

Upon termination (by either party):


a) Access and Services:

  • Your access to the Service ceases immediately

  • You lose access to all account features, data, and content

  • Pending service requests may be canceled (at our discretion)

  • Active subscriptions terminate without refund

b) Financial Obligations:

  • Payment obligations for completed transactions remain in effect

  • Outstanding fees, charges, or amounts owed become immediately due

  • No refunds of subscription fees, deposits, or payments

  • We may offset amounts owed against payments due to you

c) Data and Content:

  • Property service history remains with properties (not deleted - this is a key platform feature per Section 7.2)

  • Your personal account data may be deleted or archived

  • Your User Content may be retained as required for:

    • Legal compliance and regulatory requirements

    • Dispute resolution and legal proceedings

    • Property service history preservation

    • Backup and disaster recovery (for limited retention periods)

  • We may retain anonymized, aggregated data indefinitely

d) Third-Party Services:

  • RooPay financial accounts are governed by separate RooPay Financial Services Agreement

  • Integration connections to third-party services are severed

  • You must separately close accounts with third-party services

e) Service Provider Specific:

  • Active jobs must be completed or transferred to other providers

  • Customer communications and commitments must be honored

  • Outstanding payments from completed jobs will be processed

  • Future job offers and matching cease immediately

13.5 Surviving Provisions

The following sections survive termination and continue to bind you:

  • Section 4 (Fees and Payment) - for amounts owed

  • Section 6.2 (Taskaroo Intellectual Property) - ownership and restrictions

  • Section 6.3 (Feedback) - assignment of feedback rights

  • Section 7.2 (Property Service History) - data preservation

  • Section 7.5 (Data Rights) - data retention and deletion

  • Section 10 (Disclaimers and Limitations of Liability) - liability limits

  • Section 11 (Indemnification) - indemnification obligations

  • Section 12 (Dispute Resolution) - arbitration and governing law

  • Section 13.5 (Surviving Provisions) - this provision

  • Section 17 (General Provisions) - general legal terms

  • Any other provision that by its nature should survive termination

These surviving provisions remain in effect indefinitely or until satisfaction of all obligations.

13.6 Data Access After Termination

Limited data export may be available:

  • 60-day window after termination to request data export

  • Available in standard formats (CSV, JSON, PDF) at our discretion

  • May be subject to reasonable fees for data preparation and delivery

  • Does NOT include:

    • Property service history (remains with properties)

    • Other users' private information or communications

    • Aggregated or anonymized data

    • Data deleted per our retention policies

13.7 No Retroactive Termination

  • Termination does not affect rights, obligations, or liabilities that accrued before termination

  • You remain liable for all breaches that occurred during the Term

  • Indemnification obligations survive for claims arising during the Term

  • Limitation periods for claims are not extended by termination


14. MODIFICATIONS TO TERMS AND SERVICE

14.1 Modifications to These Terms

We reserve the right to modify these Terms at any time.

How we notify you:

  • Posting updated Terms on the Platform with a new "Last Updated" date

  • Email notification to your registered email address

  • In-app notification or prominent notice upon login

  • For material changes: At least 30 days' advance notice

What constitutes a material change:

  • Changes to arbitration agreement or dispute resolution

  • Changes to limitation of liability or disclaimers

  • Changes to fee structure or pricing (see Section 4.3)

  • Changes to indemnification obligations

  • Changes to your legal rights or our obligations

Your options if you disagree with changes:

  • Consumer users: You may opt out of material changes by terminating your account before the effective date

  • Business users: Continued use after effective date constitutes acceptance

  • No refunds for subscriptions when terminating due to Terms changes (unless required by law)

Effective date of changes:

  • Material changes: Effective 30 days after notice (or as required by law)

  • Non-material changes: Effective immediately upon posting

  • You are responsible for reviewing Terms periodically

What happens if you continue using the Service:

  • Continued use after the effective date constitutes your acceptance of modified Terms

  • Modified Terms supersede all prior versions

  • You waive any objections to the changes

Dispute resolution for Terms changes:

  • Disputes about Terms modifications are subject to Section 12 (Dispute Resolution)

  • The version of Terms in effect when your claim arose governs the dispute

  • For claims arising after a Terms modification, the new Terms apply

14.2 Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice.

We may:

a) Add, Modify, or Remove Features:

  • Introduce new features, tools, or functionality

  • Modify existing features or user interface

  • Remove or discontinue features that are underutilized or costly to maintain

  • Change matching algorithms, AI models, or service logic

b) Change Service Availability:

  • Modify geographic availability or service areas

  • Limit access to certain users or account types

  • Impose usage limits or restrictions

  • Change data storage or processing locations

c) Technical Changes:

  • Update software, systems, or infrastructure

  • Change third-party service providers

  • Modify API specifications or integrations

  • Upgrade or migrate databases

Notice of Service changes:

  • Material changes: Reasonable advance notice when feasible (30 days preferred)

  • Emergency changes: Immediate implementation for security, legal compliance, or critical bugs

  • Minor changes: No advance notice required

No liability for Service modifications:

  • We are not liable for any costs, losses, or damages resulting from Service modifications

  • We do not guarantee any specific features will remain available

  • We do not warrant backward compatibility with prior versions

Your remedy for Service changes you dislike:

  • Your sole remedy is to stop using the Service and terminate your account

  • No refunds for Service changes (subscriptions are non-refundable)

14.3 Modification to Fee Structure

See Section 4.3 for specific terms regarding fee changes (30 days' notice required).

14.4 Version Control and Conflicts

  • The most recent version of these Terms is always available at taskaroo.com/terms

  • The "Last Updated" date at the top indicates when Terms were last modified

  • In case of conflict between versions, the version posted on our website controls

  • We are not responsible for your failure to review updated Terms


15. ADDITIONAL TERMS FOR SERVICE PROVIDERS

These additional terms apply to all Service Provider accounts (businesses offering services through the platform).

15.1 Service Standards and Professional Obligations

As a Service Provider, you represent, warrant, and covenant that:

a) Licensing and Credentials:

  • You possess and will maintain all required licenses, permits, certifications, and registrations for all services you offer in all jurisdictions where you operate

  • All licenses are current, valid, and in good standing

  • You will immediately notify us if any license is suspended, revoked, or expires

  • You will not offer services outside your licensed or qualified scope

b) Insurance:

  • You maintain and will continue to maintain adequate insurance coverage, including:

    • Commercial general liability insurance (minimum $1,000,000 per occurrence)

    • Workers' compensation insurance (as required by law)

    • Professional liability/errors & omissions insurance (where applicable)

    • Vehicle insurance (if using vehicles for services)

    • Any other insurance required by law or industry standards

  • You will provide proof of insurance upon request

  • Insurance policies name you and your business as insureds

  • Insurance is primary and non-contributory

c) Professional Competence:

  • You will perform all services in a professional, workmanlike manner

  • You possess the necessary skills, experience, and expertise

  • You will use appropriate tools, equipment, and materials

  • You will follow industry best practices and standards

  • You will comply with manufacturer specifications and guidelines

d) Pricing and Estimates:

  • All quotes and estimates provided are accurate and based on good faith assessment

  • You will honor quoted prices unless circumstances materially change

  • You will provide updated estimates if scope changes

  • You will disclose all fees, charges, and costs upfront

  • You will not engage in price gouging or unfair pricing practices

e) Legal Compliance:

  • You will comply with all applicable federal, state, and local laws, regulations, codes, and ordinances

  • You will obtain all necessary permits and pass required inspections

  • You will comply with OSHA and workplace safety requirements

  • You will comply with environmental regulations

  • You will comply with wage and hour laws for your employees

15.2 Professional Conduct and Performance

You agree to:

a) Responsiveness:

  • Respond to matched service requests within 24 hours (or platform-specific timeframe)

  • Maintain reasonable communication with property owners throughout service delivery

  • Provide timely updates on scheduling, progress, and completion

  • Notify property owners promptly of delays, issues, or changes

b) Commitment and Completion:

  • Complete all jobs you accept unless unforeseen circumstances prevent completion

  • Provide reasonable notice if you must cancel or reschedule

  • Arrange alternative providers if you cannot complete accepted work

  • Honor estimated timeframes and completion dates

c) Customer Relations:

  • Maintain professional, courteous, and respectful communication

  • Address customer concerns and complaints promptly and professionally

  • Resolve disputes in good faith and in compliance with applicable law

  • Protect customer property and privacy

d) Platform Policies:

  • Honor all platform policies, guidelines, and community standards

  • Participate in good faith with platform features (ratings, reviews, messaging)

  • Provide accurate availability, service areas, and capabilities

  • Keep your profile, credentials, and information current

e) Prohibited Conduct:

  • You will NOT solicit platform users to transact outside the platform to avoid fees (this is a material breach)

  • You will not request direct payment to avoid platform fees

  • You will not share contact information with intent to circumvent the platform

  • You will not disparage Taskaroo or encourage users to leave the platform

15.3 Performance Metrics and Ratings

We track and display service provider performance metrics including:

a) Metrics Tracked:

  • Response rate (% of requests you respond to within 24 hours)

  • Acceptance rate (% of requests you accept)

  • Completion rate (% of accepted jobs you complete)

  • On-time rate (% of jobs completed on or before estimated date)

  • Customer satisfaction rating (average of customer ratings)

  • Review score (quality and quantity of customer reviews)

b) Impact on Platform:

  • Performance metrics affect your visibility in matching algorithms

  • Higher-performing providers receive preferential placement

  • Consistently poor performance may result in reduced visibility

  • Severe or persistent poor performance may result in account suspension or termination

c) Your Access to Metrics:

  • You may view your performance metrics in your account dashboard

  • Historical metrics are retained for trend analysis

  • Metrics are updated in real-time or near real-time

  • You may dispute metrics if you believe they are inaccurate (we will review and respond)

d) Public Display:

  • Some metrics may be displayed to property owners during matching

  • Customer ratings and reviews are publicly visible

  • Aggregate metrics may be used in marketing and promotional materials

  • Individual transaction details remain private

15.4 Customer Disputes and Service Quality

a) Dispute Resolution Responsibility:

  • You are solely responsible for resolving disputes with customers regarding:

    • Work quality and completion

    • Pricing and payment

    • Damages or defects

    • Warranty claims

    • Any other service-related issues

b) Taskaroo's Role:

  • We are not a party to service agreements between you and customers

  • We do not mediate service quality disputes (parties must resolve directly)

  • We may provide transaction records and communications to assist resolution

  • We may suspend accounts during disputes to prevent further issues

c) Complaint Management:

  • You must respond to customer complaints promptly and professionally

  • You must make good faith efforts to resolve complaints

  • Repeated complaints about similar issues may result in:

    • Requirement for additional training or certification

    • Temporary suspension pending resolution

    • Account review and potential termination

d) Warranty and Rework:

  • You are responsible for all warranty obligations on your work

  • You must honor industry-standard warranties and guarantees

  • You must respond to warranty claims promptly

  • Failure to honor warranties may result in negative ratings and account action

15.5 Subcontractors and Employees

a) If you use subcontractors or employees:

  • You are solely responsible for all actions and omissions of your subcontractors and employees

  • You must ensure subcontractors and employees comply with these Terms

  • You must properly classify workers (employee vs. independent contractor)

  • You must maintain workers' compensation insurance as required by law

  • You must comply with wage and hour laws

  • You must conduct background checks as required by law or industry standards

b) Disclosure Requirements:

  • You must disclose to customers if work will be performed by subcontractors

  • You must ensure subcontractors are properly licensed and insured

  • You may not use unlicensed or uninsured subcontractors without customer consent

15.6 Payment Processing and Fees

a) Payment Collection:

  • You may collect payment through RooPay (recommended for free tier qualification)

  • You may collect payment outside the platform (subject to platform transaction fees)

  • You must issue proper invoices and receipts

  • You must comply with tax reporting requirements

b) Platform Fees:

  • Free tier: Qualify by maintaining required RooPay transaction volume (see Section 4.1)

  • Subscription fees apply if you don't qualify for free tier

  • Transaction fees apply for non-RooPay payments (see Section 4.1)

  • Fees are non-refundable

c) Payment Disputes:

  • Handle customer payment disputes directly

  • Comply with applicable consumer protection laws

  • Honor legitimate refund requests

  • Do not engage in fraudulent chargeback practices

15.7 Termination Specific to Service Providers

In addition to general termination rights in Section 13, we may terminate Service Provider accounts for:

  • Loss of required licenses or insurance

  • Pattern of poor performance or customer complaints

  • Failure to complete accepted jobs

  • Violation of professional standards or codes of conduct

  • Circumventing platform fees

  • Negative impact on platform reputation

Upon termination:

  • You must complete or transfer all active jobs

  • You must honor all customer commitments

  • Outstanding payments for completed jobs will be processed

  • You may not solicit platform customers for 12 months (non-solicitation period)


16. ADDITIONAL TERMS FOR PROPERTY OWNERS/MANAGERS

These additional terms apply to all Property Owner and Property Manager accounts.

16.1 Service Requests and Property Information

When requesting services, you must:

a) Accurate Information:

  • Provide accurate and complete property information (address, type, size, age, etc.)

  • Provide accurate and detailed descriptions of issues or service needs

  • Disclose known hazards, dangers, or access restrictions

  • Update information promptly when circumstances change

b) Hazard Disclosure:

  • Disclose known environmental hazards (asbestos, lead paint, mold, radon, etc.)

  • Disclose structural issues, electrical problems, or plumbing issues relevant to the service

  • Disclose pet hazards or aggressive animals

  • Disclose security systems or access requirements

  • Failure to disclose known hazards may result in liability for injuries or damages

c) Property Access:

  • Ensure property access at scheduled times

  • Provide access codes, keys, or entry instructions as needed

  • Be available or designate a representative

  • Notify service providers promptly of access issues or rescheduling needs

d) Authority and Permissions:

  • Have legal authority to request services for the property

  • Obtain owner approval if you are a tenant or property manager

  • Ensure compliance with HOA rules, condo association bylaws, or lease terms

  • Obtain necessary permits before requesting work (where your responsibility)

e) Prohibited Requests:

  • Do not request illegal work or services

  • Do not request work requiring permits you haven't obtained (unless service provider will obtain)

  • Do not request work that violates building codes or regulations

  • Do not use the Service to harass or spam service providers

16.2 Property Manager Specific Terms

If you are a Property Manager managing properties on behalf of owners:

a) Authority and Authorization:

  • You represent and warrant that you have proper written authorization from property owners to request services

  • You will maintain current property management agreements

  • You will obtain owner approval where required by your management agreement

  • You accept full liability for unauthorized service requests

b) Property Owner Information:

  • You will maintain accurate property owner contact information

  • You will update ownership information promptly when properties change hands

  • You will notify service providers when owner approval is required

  • You will ensure proper billing (owner vs. property manager responsibility)

c) Multiple Properties:

  • You may manage multiple properties under a single account

  • Each property must have accurate information and ownership details

  • Service history follows the property, not your management account

  • If you stop managing a property, service history remains with the property for future owners/managers

d) Relationship Termination:

  • If your property management agreement terminates, promptly update property status

  • Ongoing service requests must be transferred or canceled

  • Outstanding invoices must be resolved

  • You remain liable for services requested during your management period

16.3 Payment Obligations

a) Payment Responsibility:

  • You are responsible for payment of all services requested through your account

  • Payment methods must be in your name, the property owner's name, or you must have authorization to use them

  • You must have sufficient funds or credit available

  • You may not use fraudulent, stolen, or unauthorized payment methods

b) Payment Disputes:

  • Disputed charges must be raised in good faith with supporting evidence

  • You may not dispute charges to avoid paying for properly completed work

  • False or fraudulent disputes may result in account termination and legal action

  • Follow dispute resolution procedures in your service agreement with the provider

c) Property Manager Payment:

  • Clarify payment responsibility with property owner (owner pays vs. you pay and bill owner)

  • If you pay and bill owner, you remain liable to service provider regardless of owner payment

  • Maintain proper accounting and invoicing to owners

16.4 Service Provider Relationships

a) Independent Contractor Relationship:

  • Service providers are independent contractors, not Taskaroo employees or your employees

  • Service agreements are directly between you and service providers

  • Taskaroo is not a party to service agreements

  • You may not treat service providers as your employees

b) Service Selection and Quality:

  • You are responsible for evaluating service providers and making selection decisions

  • You are responsible for verifying credentials, licenses, and insurance if important to you

  • You are responsible for monitoring work quality and completion

  • Taskaroo does not guarantee service provider performance

c) Property Owner Duties:

  • You must allow service providers to complete work safely and without interference

  • You must provide necessary information, access, and cooperation

  • You must make timely decisions when requested

  • You must raise concerns or issues promptly during service delivery

16.5 Ratings and Reviews

a) Honest and Accurate:

  • Provide honest, accurate, and fair ratings and reviews

  • Base ratings on actual service experience

  • Do not provide false, misleading, or malicious reviews

  • Do not use reviews to extort, harass, or retaliate

b) Prohibited Review Conduct:

  • Do not post reviews containing personal attacks or profanity

  • Do not post reviews containing discriminatory or harassing content

  • Do not post reviews to harm a provider's reputation for personal reasons

  • Do not demand free or reduced services in exchange for positive reviews

c) Review Disputes:

  • Service providers may dispute reviews they believe are false or misleading

  • We may remove reviews that violate these Terms

  • We do not verify accuracy of reviews

  • Reviews are user opinions, not Taskaroo endorsements


17. GENERAL PROVISIONS

17.1 Entire Agreement

These Terms, together with:

constitute the entire agreement between you and Taskaroo regarding the Service and supersede all prior or contemporaneous agreements, understandings, warranties, representations, and communications (whether written or oral) regarding the subject matter herein.

No other agreements apply unless:

  • Executed in writing and signed by an authorized Taskaroo officer

  • Explicitly stated to modify or supplement these Terms

17.2 Severability

If any provision of these Terms is found by a court of competent jurisdiction or arbitrator to be invalid, illegal, or unenforceable, that provision will be:

  • Limited or eliminated to the minimum extent necessary to make it enforceable

  • Interpreted to achieve the intent of the original provision to the fullest extent possible

The remaining provisions will:

  • Remain in full force and effect

  • Continue to be binding and enforceable

  • Not be affected by the invalid provision

Special severability rule for arbitration:

  • If the class action waiver (Section 12.6) is found unenforceable, the entire arbitration agreement (Section 12.2) is void

  • This is the only exception to the general severability rule

17.3 No Waiver

Our failure or delay in enforcing any provision of these Terms does not constitute a waiver of:

  • That provision

  • Our right to enforce that provision later

  • Our right to enforce any other provision

  • Any rights or remedies

Any waiver must be:

  • In writing

  • Signed by an authorized Taskaroo officer

  • Explicitly state what is being waived

A waiver of one breach or default:

  • Does not waive any subsequent breach or default

  • Does not waive any other term or condition

  • Is effective only for the specific instance stated

17.4 Assignment and Transfer

a) Your Restrictions:

  • You may NOT assign, transfer, delegate, or sublicense these Terms or your account to any person or entity without our prior written consent

  • You may NOT transfer your account to another user

  • You may NOT sell, gift, or otherwise dispose of your account

  • Any attempted assignment in violation of this provision is void and of no effect

b) Our Rights:

  • Taskaroo MAY assign or transfer these Terms and all rights and obligations to:

    • Any affiliate, subsidiary, or parent company

    • Any successor in interest (merger, acquisition, reorganization)

    • Any purchaser of all or substantially all of our assets or business

    • Any other party with or without notice to you

  • No consent or approval from you is required

  • Assignment does not relieve us of obligations under these Terms

c) Effect of Assignment:

  • Upon our assignment, the assignee assumes all rights and obligations

  • You agree to be bound by these Terms with the assignee

  • We will provide notice of assignment when feasible

17.5 Force Majeure

Neither party is liable for delays or failures in performance resulting from causes beyond their reasonable control, including but not limited to:

a) Natural Events:

  • Acts of God (earthquakes, floods, hurricanes, tornadoes, wildfires, etc.)

  • Severe weather conditions

  • Natural disasters

b) Human Events:

  • War, terrorism, or armed conflict

  • Civil unrest, riots, or insurrection

  • Pandemics, epidemics, or public health emergencies

  • Government actions, orders, or regulations (including lockdowns, curfews, etc.)

  • Strikes, labor disputes, or lockouts (not involving our employees)

c) Technical Events:

  • Internet, telecommunications, or utility failures

  • Third-party service provider outages or failures

  • Cyber attacks, DDoS attacks, or hacking

  • Infrastructure failures beyond our control

  • Cloud service provider outages (AWS, Google Cloud, etc.)

d) Other Events:

  • Supplier failures or shortages

  • Transportation disruptions

  • Any other cause beyond reasonable control

Effect of force majeure:

  • Performance obligations are suspended for the duration of the force majeure event

  • Timelines and deadlines are extended by the duration of the delay

  • No breach of contract or liability for non-performance during force majeure

  • We will make commercially reasonable efforts to resume performance

  • If force majeure continues for more than 90 days, either party may terminate these Terms without liability

Notice: The affected party will provide notice of the force majeure event as soon as reasonably practicable.

17.6 Notices

  • Email: Effective when sent to your registered email address (whether or not you actually read it)

  • In-app/Posted: Effective when posted on the Platform

  • SMS: Effective when sent to your registered phone number

  • Mail: Effective 3 business days after mailing

  • Push notifications: Effective when sent

d) Your Responsibility:

  • You are responsible for keeping your contact information current

  • You must check your email regularly for notices

  • You must check in-app notifications regularly

  • Notices sent to outdated contact information are still effective if sent to the last address/email/phone we have on file

17.7 Relationship of Parties

No partnership, joint venture, employment, or agency relationship exists between:

a) You and Taskaroo:

  • You are an independent user of the Service

  • You are not our employee, agent, partner, or joint venturer

  • You have no authority to bind Taskaroo to any agreement or obligation

  • You may not represent yourself as a Taskaroo agent or representative

b) You and Other Platform Users:

  • Service providers and property owners have independent contractual relationships

  • Service agreements are solely between service providers and property owners

  • Taskaroo is not a party to these relationships

  • Each user is an independent contractor

c) Service Providers and Taskaroo:

  • Service providers are independent contractors, not employees

  • Service providers control their own work methods, hours, pricing, and business decisions

  • Service providers are responsible for their own taxes, licenses, insurance, and compliance

  • No employment benefits, workers' compensation, or unemployment insurance provided

Tax Treatment:

  • Service providers are responsible for self-employment taxes

  • Taskaroo will issue IRS Form 1099 to service providers meeting reporting thresholds

  • Property owners are responsible for determining tax treatment of payments

17.8 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights, EXCEPT:

a) Taskaroo Parties (defined in Section 11.1) are third-party beneficiaries of:

  • Indemnification provisions (Section 11)

  • Limitation of liability provisions (Section 10)

  • Disclaimer provisions (Section 10)

b) All other persons and entities are NOT third-party beneficiaries and have no right to:

  • Enforce any provision of these Terms

  • Rely on any provision of these Terms

  • Bring any claim based on these Terms

c) Service Providers:

  • Service providers have no third-party beneficiary rights in service agreements between other providers and property owners

  • Service providers have no rights under agreements between Taskaroo and property owners

17.9 Export Control and Sanctions Compliance

You represent and warrant that:

  • You are not located in, organized under the laws of, or ordinarily resident in any country or territory subject to U.S. economic sanctions or embargoes (currently including Cuba, Iran, North Korea, Syria, and the Crimea region of Ukraine)

  • You are not identified on any U.S. government list of prohibited or restricted parties, including:

    • Treasury Department's Specially Designated Nationals (SDN) List

    • Commerce Department's Denied Persons List, Entity List, or Unverified List

    • State Department's Debarred List

  • You will not use the Service in violation of any U.S. export laws, regulations, or sanctions

  • You will not provide access to the Service to any prohibited person or in any prohibited country

Your Obligations:

  • Comply with all applicable U.S. export control laws and regulations

  • Comply with the Export Administration Regulations (EAR)

  • Comply with International Traffic in Arms Regulations (ITAR) if applicable

  • Comply with Office of Foreign Assets Control (OFAC) regulations

Consequences of Violation:

  • Immediate termination of account without notice

  • Reporting to appropriate U.S. government authorities

  • Full liability for any penalties, fines, or sanctions imposed

  • Indemnification of Taskaroo for any losses resulting from your violations

17.10 Government Use and Public Entities

If you are a U.S. federal, state, or local government entity or public agency:

a) Commercial Item:

  • The Service is a "Commercial Item" as defined in FAR 2.101

  • Licensed under commercial terms and conditions

  • Government acquires only the rights specified in these Terms

b) Restricted Rights:

  • Technical data and software are "commercial computer software" and "commercial computer software documentation" under FAR 12.212 and DFARS 227.7202

  • Licensed to the government with only those rights granted to non-governmental users

  • Use, duplication, or disclosure subject to restrictions in these Terms

c) Government-Specific Terms:

  • Government entities may not require terms inconsistent with these Terms

  • Sovereign immunity is waived to the extent necessary to enforce these Terms (if permissible)

  • Government entities must comply with procurement and appropriations laws

  • Additional terms may be required by separate written agreement

17.11 Language and Translation

a) Official Language:

  • These Terms are written in English

  • The English language version is the official, controlling version

  • If these Terms are translated into other languages, the English version controls in case of any conflict or inconsistency

b) Interpretation:

  • Translations are provided for convenience only

  • Translations are not legally binding

  • You acknowledge and agree that the English version governs your rights and obligations

17.12 Headings and Interpretation

a) Headings:

  • Section headings and titles are for convenience only

  • Headings do not affect the interpretation or meaning of these Terms

  • Headings are not substantive provisions

b) Interpretation Rules:

  • "Including" means "including but not limited to"

  • "Or" is not exclusive (can mean "and/or")

  • Singular includes plural and vice versa

  • "You" and "your" refer to the user accepting these Terms

  • "We," "us," and "our" refer to Taskaroo, Inc.

  • "Days" mean calendar days unless specified as "business days"

  • "Business days" mean Monday through Friday, excluding federal holidays

17.13 Electronic Signatures and Acceptance

a) Electronic Acceptance:

  • These Terms may be accepted electronically

  • Clicking "I Agree," "Sign Up," "Create Account," or similar constitutes your electronic signature

  • Electronic signatures have the same legal effect as handwritten signatures

b) Electronic Records:

  • You consent to receive these Terms and all agreements in electronic form

  • You consent to conduct transactions electronically

  • You have the necessary hardware and software to access electronic records

c) Withdrawal of Consent:

  • You may withdraw consent to electronic records by closing your account

  • Withdrawal does not affect the legal validity of prior electronic signatures or agreements

You have read and understood these Terms in their entirety You agree to be legally bound by these Terms You have the legal capacity and authority to enter into this agreement If acting for an organization, you have authority to bind that organization You understand Taskaroo is a platform, not a service provider You understand service agreements are directly between property owners and service providers You consent to arbitration and waive class action rights (unless you opt out within 30 days - consumers only) You waive your right to a jury trial You understand property service history remains with properties even after account closure You consent to electronic communications and signatures You agree to the limitation of liability and disclaimer of warranties You agree to indemnify Taskaroo for claims arising from your use of the Service You understand these Terms may be modified with notice You have reviewed the linked policies (Privacy Policy, RooPay terms if applicable)
